White softlight layer with a mask (50% opacity, soft black brush) to darken the hair ...
you might want to desaturate just a small amount also

Is that what you're trying to get?
If that's the case, open both pictures in Photoshop, select the one to work on, go to Images > Adjustments > Match Color. At the bottom, in the Source section, select the other picture, adjust to taste (I didn't change anything at all) and click OK.

The first think noticeable in the pic you want to achieve is the gamma, that's why the image looks washed out. You have to go to levels and raise (move to the left the left slider to taste) the black point of the image, that will desaturate your colors as well (the slider in the very bottom). You can change the colors by adding curves and playing with separate channels, maybe putting the Levels in color mode or saturation and lowering the opacity as well. Sometimes I drop a big amount of yellow by using the channel mixer but just using a very low amount in the opacity, no more than 20%
