I wish it was a simple explanation, but it isn't...
* There are many ways to watermark an image to indicate it's a proof, so step one is deciding on how you want to do it. You will find a very good tutorial using one method here:

Resize means different things to different people. If the "before and after" aspect ratio is the same, then
Image > Image size is the way to go, otherwise the Crop tool comes into play and that can get messy in batch.
Once you get the step-by-step processes ironed out to resize and apply the watermark to just one image, then you're ready to record those steps in an action:
* Writing actions... There are dozens of tutorials on the net that describe how to write actions.
