To align the two layers, select them both and go : Edit•Auto align layers

For manual positioning you could conver the one you want to transform to a smart object first. That will allow you to go back and adjust it several times until happy without loosing additional quality.

Also, set the top one to blend mode "difference" when aligning. When 100 % black the two layers are a perfect match (ofc. you will not get 100 % in most scenarios, but you can move your layers in tiny increments this way to get it juuuust right).

regarding scanners some are better than others I find the Epson and Canon flat bed scanners pretty good for reflective and the Imacon good for Transparancies and color negatives.

When you save a photo from a scanner, what format should you save it as?

Nesian, use a format that is lossless - like tiff or psd but not jpg.
